1. Agreement to These Terms
These Terms of Service (“Terms”) govern access to and use of the ISOLAH QMS, the website located at https://qms.isolah.com/, related demo request forms, dashboards, software features, content, documentation, support, and any related services provided by Nihda LLC (“Nihda,” “we,” “us,” or “our”).
By visiting the website, submitting a request form, creating an account, accessing a demo, using the platform, clicking an acceptance box, signing an order form, or otherwise using the services, you agree to these Terms. If you use the services on behalf of a company or organization, you represent that you have authority to bind that organization, and references to “you” or “Customer” include that organization.
If you do not agree to these Terms, do not access or use the website or services.
2. Definitions

| Customer Data | Data, files, images, documents, NCR records, CAPA records, audit records, inspection records, supplier quality records, ECR/ECN records, training records, complaint records, attachments, comments, and other content submitted to or generated in the Platform by or for Customer. |
| NCR | Nonconformance report or quality issue record documenting a deviation, defect, or nonconforming condition. |
| CAPA | Corrective and preventive action record used to investigate, correct, and prevent recurrence of quality issues. |
| ECR | Engineering Change Request or intake record requesting a potential change. |
| ECN | Engineering Change Notification or approved engineering change record used for revision control. |
3. Description of the Services
ISOLAH QMS is designed to help manufacturing organizations manage quality processes with document control, nonconformance management, corrective and preventive actions, internal audits, supplier quality, engineering change control, training records, inspections, customer complaints, management review, analytics, and role-based approvals.
The Platform may include, depending on the enabled plan or configuration:
- Controlled document management with revision history and approvals;
- NCR and CAPA workflows with attachments, comments, and traceability;
- Internal audit planning, findings, and follow-up actions;
- Supplier quality records, SCARs, and approved supplier lists;
- ECR and ECN workflows with revision control;
- Training matrix and employee training records;
- Inspection management and quality checkpoints;
- Customer complaint handling and supplier/customer portals;
- Management review records, analytics, and multi-site support;
- Optional AI-assisted drafts that require human review and approval; and
- Other features described on the website, in a proposal, quote, order form, or written agreement.
The exact features, limitations, configuration, support level, storage capacity, users, pricing, and service scope may be described in a separate quote, subscription plan, order form, statement of work, or written agreement. If a signed agreement conflicts with these Terms, the signed agreement controls for that Customer only.
4. Website Visitors, Demo Requests, and Sales Communications
Visitors may use the public website to learn about the Platform and submit a Request Demo or contact form. Submitting a form does not guarantee availability, pricing, implementation, or acceptance as a customer. We may contact you to respond to your inquiry, provide a demonstration, discuss implementation, or share related information about our services.
You agree that information submitted through forms must be accurate, lawful, and submitted with authority. Do not submit confidential, regulated, export-controlled, proprietary, or sensitive manufacturing information through a public demo or contact form unless we have agreed in writing to receive it securely.
5. Accounts and Authorized Users
Customer is responsible for managing its Authorized Users and for all activities that occur under Customer accounts, except to the extent caused by Nihda LLC’s breach of these Terms. Customer must ensure that each Authorized User uses a unique account unless otherwise approved in writing.
Customer must:
- Keep usernames, passwords, API keys, and access credentials confidential;
- Use strong passwords and reasonable access controls;
- Promptly remove access for users who no longer need the Platform;
- Notify Nihda LLC promptly of suspected unauthorized access, credential compromise, or security incident involving the Platform; and
- Ensure that Authorized Users comply with these Terms, applicable policies, and Customer’s internal procedures.
Nihda LLC may require additional verification, multi-factor authentication, or administrative approval for certain accounts or high-risk actions.
6. Customer Responsibilities for Manufacturing, Quality, and Safety
The Platform is a digital workflow and information management tool. It does not replace Customer’s engineering judgment, manufacturing controls, quality management system, safety program, regulatory obligations, product certification requirements, or professional review.
Customer is solely responsible for:
- Ensuring that work instructions, BOMs, drawings, pictures, videos, tests, acceptance criteria, ECRs, ECNs, and field feedback are accurate, complete, current, approved, and suitable for Customer’s products and processes;
- Reviewing and approving all instructions, test steps, safety warnings, torque values, wiring instructions, part revisions, inspection requirements, and release decisions before production or field use;
- Training operators, inspectors, engineers, service personnel, supervisors, and other users;
- Maintaining compliance with applicable laws, standards, customer requirements, industry standards, safety rules, certification programs, and internal quality procedures;
- Determining whether a product, assembly, installation, service action, test result, or work order may be released;
- Maintaining backup procedures and business continuity processes appropriate for Customer’s manufacturing operations; and
- Using independent review and controls for safety-critical, mission-critical, regulated, high-voltage, hazardous, medical, transportation, electrical, or other high-risk applications.
Nihda LLC does not certify Customer’s products, approve engineering changes as Customer’s engineer of record, guarantee that a product is safe or compliant, or guarantee that use of the Platform will prevent all missed parts, wrong parts, wiring errors, missing bolts, quality defects, delays, or field issues.
7. BOM, Drawing, Video, ECR, ECN, and Revision Control Responsibilities
The Platform may help Customer connect BOM parts, drawings, videos, ECR intake, ECN revision control, issue reporting, on-site installation feedback, timing records, and real-time progress in one workflow. However, Customer remains responsible for content governance and revision accuracy.
- Customer must verify that every BOM item, drawing, picture, and video is linked to the correct product, assembly, revision, work order, and step;
- Customer must define approval rules for engineering, quality, production, logistics, purchasing, service, and other stakeholders;
- Customer must decide when an ECR becomes an ECN and when an approved revision becomes effective;
- Customer must ensure that obsolete instructions, drawings, BOM revisions, and videos are not used unless specifically allowed for a controlled work order;
- Customer must review field feedback and issue reports and determine whether corrective action, preventive action, rework, supplier action, or engineering change is required; and
- Customer must maintain any records required by contract, law, regulation, certification body, customer specification, or internal procedure.
8. Acceptable Use
You may use the services only for lawful business purposes and in accordance with these Terms. You may not, and may not permit any person to:
- Use the services for illegal, fraudulent, harmful, deceptive, abusive, or unauthorized purposes;
- Access, copy, modify, reverse engineer, decompile, scrape, or attempt to derive source code from the Platform except as permitted by law;
- Interfere with or disrupt the security, integrity, availability, or performance of the Platform;
- Upload malware, viruses, ransomware, spyware, corrupted files, or harmful code;
- Attempt to bypass authentication, authorization, storage limits, rate limits, security controls, audit logs, or usage restrictions;
- Access another customer’s data or accounts without authorization;
- Use the Platform to transmit infringing, unlawful, defamatory, discriminatory, harassing, obscene, or otherwise objectionable content;
- Upload sensitive personal information, regulated health information, payment card data, classified information, export-controlled technical data, or government-restricted information unless expressly authorized in a written agreement and supported by the applicable service configuration;
- Use the Platform as the sole control system for safety-critical or life-critical processes without independent safety and quality controls; or
- Resell, sublicense, rent, lease, or provide the Platform to third parties except as expressly permitted in writing.
9. Customer Data and Content
As between Customer and Nihda LLC, Customer owns Customer Data. Customer grants Nihda LLC a limited, non-exclusive, worldwide license to host, process, transmit, display, copy, back up, and use Customer Data as necessary to provide, secure, support, improve, and operate the services, comply with law, and enforce these Terms.
Customer represents and warrants that it has all necessary rights, consents, approvals, and authority to submit Customer Data to the Platform and to authorize Nihda LLC to process it as described in these Terms, the Privacy Policy, and any applicable written agreement.
Customer is responsible for the accuracy, quality, legality, reliability, and appropriateness of Customer Data. Nihda LLC may remove or restrict access to Customer Data if it reasonably believes the data violates these Terms, law, third-party rights, security requirements, or platform integrity.
10. Privacy and Data Protection
Use of the website and services is also subject to the Nihda LLC Privacy Policy for the ISOLAH QMS, which explains how we collect, use, disclose, retain, and protect personal information. The Privacy Policy is incorporated by reference into these Terms.
Customer is responsible for providing required notices to its employees, contractors, service personnel, operators, inspectors, engineers, and other Authorized Users regarding Customer’s use of the Platform, including timing records, progress records, issue reports, field feedback, user activity logs, and other workplace data.
If a separate data processing agreement, security exhibit, or customer contract applies, it will govern the specific processing and security commitments described in that agreement.
11. Confidentiality
Each party may receive confidential or proprietary information from the other party, including business information, pricing, technical information, product plans, drawings, manufacturing procedures, BOM data, ECN records, issue reports, customer information, and non-public platform information. The receiving party must use reasonable care to protect confidential information and may use it only for purposes related to the services or the parties’ business relationship.
Confidentiality obligations do not apply to information that is publicly available without breach, already known without confidentiality obligation, independently developed, lawfully received from a third party, or required to be disclosed by law, subpoena, court order, or government request, provided the receiving party gives reasonable notice when legally permitted.
12. Intellectual Property
Nihda LLC and its licensors own all rights, title, and interest in and to the Platform, software, website, templates, design, workflows, documentation, dashboards, analytics, know-how, trade secrets, trademarks, service marks, logos, and related intellectual property. Except for the limited rights expressly granted in these Terms or a written agreement, no rights are transferred to Customer.
Customer may use the Platform only during the applicable subscription or authorized access period and only for Customer’s internal business purposes. Customer may not remove proprietary notices, copy the Platform for competing purposes, or use the Platform to build a substantially similar service.
Customer retains ownership of Customer Data and Customer’s pre-existing drawings, BOMs, work instructions, videos, images, process records, and internal content.
13. Feedback and Suggestions
If Customer or any user provides ideas, suggestions, enhancement requests, recommendations, or feedback about the Platform, Customer grants Nihda LLC a perpetual, irrevocable, worldwide, royalty-free right to use, incorporate, modify, and commercialize that feedback without restriction or compensation, provided Nihda LLC does not disclose Customer’s confidential information in violation of these Terms.
14. Fees, Payment, Taxes, and Orders
Fees, payment terms, subscription period, user limits, storage limits, implementation services, support level, and other commercial terms may be stated in a proposal, quote, invoice, online checkout, order form, statement of work, or written agreement.
- Unless otherwise stated, fees are due in U.S. dollars and are non-refundable except as required by law or expressly stated in a written agreement;
- Customer is responsible for taxes, duties, bank fees, payment processing fees, and similar charges, excluding taxes based on Nihda LLC’s net income;
- Late payments may result in suspension, downgrade, or termination after reasonable notice;
- Nihda LLC may update pricing for renewals, new orders, or additional services with notice; and
- Customer may not withhold payment because of disputes unrelated to the unpaid invoice.
If services are provided on a free trial, beta, pilot, or demo basis, Nihda LLC may limit functionality, storage, users, or duration and may terminate access at any time unless otherwise agreed in writing.
15. Subscriptions, Renewal, and Cancellation
Subscription terms, renewal rules, cancellation rights, and notice requirements will be described in the applicable order form, invoice, checkout page, or written agreement. If no specific renewal term is stated, continued access after a subscription period may require payment of then-current fees.
Customer should export or download Customer Data before cancellation or termination if Customer needs a copy. Data export availability, retention after termination, and deletion timing may depend on the plan, agreement, and legal requirements.
16. Support, Implementation, and Professional Services
Nihda LLC may provide onboarding, configuration, implementation, training, data import, support, or consulting services if agreed in writing. Customer is responsible for providing timely information, access, decisions, approvals, and subject matter expertise needed for implementation.
Any project timeline, go-live date, deliverable, or implementation estimate depends on Customer participation, data quality, technical access, and scope stability. Unless expressly agreed in a signed statement of work, timelines are estimates and not guarantees.
17. Service Availability and Changes
Nihda LLC will use commercially reasonable efforts to operate the Platform. However, the Platform may be unavailable due to maintenance, updates, upgrades, hosting provider issues, internet outages, security events, force majeure events, or other circumstances.
We may modify, improve, add, remove, or discontinue features from time to time. We will use reasonable efforts to avoid materially reducing core paid functionality during an active subscription, unless required for security, legal, technical, or operational reasons.
18. Third-Party Services
The Platform may integrate with or rely on third-party services such as hosting providers, email providers, authentication services, analytics tools, payment processors, storage providers, communication tools, or APIs. Third-party services are subject to their own terms and policies. Nihda LLC is not responsible for third-party products or services outside its control.
Customer is responsible for maintaining any third-party accounts, permissions, credentials, API keys, fees, and configurations required for Customer’s selected integrations.
19. Security
Nihda LLC will use reasonable administrative, technical, and organizational safeguards designed to protect the Platform and Customer Data. No method of transmission, storage, or security control is completely secure, and Nihda LLC does not guarantee that unauthorized access, loss, misuse, or security incidents will never occur.
Customer is responsible for its endpoint security, networks, credentials, user access, device controls, screenshots, exports, downloaded files, and any Customer systems connected to the Platform.
20. Backups and Data Export
Nihda LLC may maintain backups as part of its normal operations, but backups are not a substitute for Customer’s own record retention, regulatory archive, or business continuity plan unless expressly agreed in writing. Customer should maintain copies of critical BOMs, drawings, work instructions, ECN records, quality records, test results, and other required manufacturing records according to Customer’s own policy and applicable requirements.
21. Suspension
Nihda LLC may suspend or restrict access to the services if it reasonably believes that:
- Customer or a user has violated these Terms;
- Suspension is necessary to protect the Platform, other customers, security, data, or legal compliance;
- Customer has failed to pay undisputed amounts when due;
- Customer’s use creates material risk, excessive load, abuse, or operational harm; or
- Suspension is required by law, court order, government request, or third-party provider requirement.
Where reasonable and legally permitted, Nihda LLC will provide notice and an opportunity to cure before suspension. Emergency suspensions may occur without prior notice when needed to protect security, safety, or legal interests.
22. Termination
Either party may terminate a subscription or agreement as stated in the applicable order form or written agreement. If no specific termination terms apply, Nihda LLC may terminate unpaid, demo, trial, or inactive accounts with reasonable notice. Nihda LLC may terminate access immediately for material breach, illegal use, security abuse, or non-payment after applicable notice.
Upon termination, Customer must stop using the services, and Nihda LLC may disable access. Sections that by their nature should survive termination will survive, including confidentiality, payment obligations, intellectual property, Customer Data rights needed for wind-down, disclaimers, limitations of liability, indemnification, dispute terms, and general provisions.
23. Disclaimers
THE WEBSITE, PLATFORM, DEMOS, TRIALS, DOCUMENTATION, SUPPORT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” EXCEPT AS EXPRESSLY STATED IN A WRITTEN AGREEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIHDA LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.
Nihda LLC does not warrant that the Platform will detect every missing bolt, wrong wire, missing part, obsolete drawing, quality defect, timing delay, field issue, unsafe condition, or nonconforming product. Customer must maintain appropriate engineering, production, quality, safety, inspection, testing, and release controls.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIHDA LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, PRODUCTION DELAYS, PRODUCT RECALLS, FIELD FAILURES, LOSS OF DATA, OR COST OF SUBSTITUTE SERVICES, EVEN IF NIHDA LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIHDA LLC’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO NIHDA LLC FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US $100) IF CUSTOMER HAS NOT PAID ANY FEES.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you. In those cases, liability will be limited to the greatest extent permitted by law.
25. Indemnification
Customer will defend, indemnify, and hold harmless Nihda LLC and its officers, directors, employees, contractors, agents, affiliates, and representatives from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- Customer Data or Customer’s manufacturing, engineering, quality, safety, service, installation, or product release decisions;
- Customer’s products, processes, work instructions, BOMs, drawings, videos, ECNs, test results, issue reports, field work, or installations;
- Customer’s violation of these Terms, law, regulation, third-party rights, or customer/vendor obligations;
- Unauthorized use of the Platform through Customer’s accounts or credentials; and
- Claims by Customer’s employees, contractors, users, customers, suppliers, or third parties related to Customer’s use of the Platform.
26. Export, Sanctions, and Restricted Use
Customer must comply with applicable export control, sanctions, and trade compliance laws. Customer may not use the services in a country or by a person prohibited by applicable law, or for prohibited end uses. Customer must not upload export-controlled technical data or restricted information unless expressly authorized by a written agreement and supported by the applicable security controls.
27. Government, Regulated, and High-Risk Use
Unless expressly agreed in writing, the services are not designed for classified government systems, regulated health records, payment card processing, emergency response systems, nuclear facilities, life-support systems, autonomous weapons, or any use where failure of the Platform could directly cause death, personal injury, severe environmental damage, or catastrophic property damage. Customer must use independent safeguards for high-risk operations.
28. Electronic Communications and Notices
You consent to receive electronic communications from Nihda LLC, including emails, website notices, dashboard notices, invoices, service updates, and legal notices. Electronic notices may satisfy legal notice requirements unless a different method is required by law or a signed agreement.
Notices to Nihda LLC should be sent through the website contact form or to the contact method stated below or in the applicable order form. Notices to Customer may be sent to the account owner, billing contact, administrator, or address provided by Customer.
29. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law rules, unless a signed agreement states otherwise. The parties will first attempt to resolve disputes through good-faith business discussions. If a dispute cannot be resolved informally, the parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Georgia, unless a different forum is required by applicable law or agreed in writing.
Nothing in this section prevents either party from seeking injunctive or equitable relief to protect confidential information, intellectual property, security, or unauthorized use of the services.
30. Changes to These Terms
Nihda LLC may update these Terms from time to time. If changes are material, we will use reasonable efforts to provide notice through the website, email, dashboard, or other appropriate method. The updated Terms will be effective when posted or on the effective date stated in the notice. Continued use of the services after the effective date means you accept the updated Terms.
31. Miscellaneous
These Terms, together with any applicable order form, proposal, invoice, statement of work, Privacy Policy, data processing agreement, and written agreement, form the agreement between the parties regarding the services. If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. Customer may not assign these Terms without Nihda LLC’s prior written consent, except as part of a merger, acquisition, corporate reorganization, or sale of substantially all assets, provided the assignee agrees to these Terms. Nihda LLC may assign these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or to an affiliate or successor.
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, internet or hosting failures, utility failures, government actions, supply interruptions, cyberattacks, or other force majeure events.
